Welcome to PathwayBio. These Terms of Service ("Terms") govern your access to and use of the PathwayBio platform, website, and services (collectively, the "Service"). Please read these Terms carefully before using our Service.
Summary: By using PathwayBio, you agree to use our platform responsibly, respect patient privacy, maintain confidentiality of the data, and comply with all applicable laws including HIPAA.
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
PathwayBio provides a platform for accessing de-identified, patient-generated real-world evidence for research purposes. Our Service includes:
- Access to de-identified patient data including biomarkers, symptoms, medications, and sentiment analysis
- Cohort discovery and patient matching tools
- API access for data integration
- Analytics and visualization tools
- Clinical trial recruitment capabilities
3. Account Registration
To access the Service, you must:
- Complete our access request process
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized use of your account
We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Attempt to re-identify any individual from the de-identified data
- Use the data for purposes other than legitimate research
- Share your account credentials with unauthorized users
- Redistribute, resell, or sublicense the data without authorization
- Use the Service to discriminate against individuals or groups
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service or servers
- Upload malicious code or content
- Violate any applicable laws or regulations
5. Data Use and Restrictions
5.1 De-identified Data
All patient data provided through the Service has been de-identified in accordance with the HIPAA Safe Harbor method. You acknowledge that:
- The data does not contain protected health information (PHI)
- You will not attempt to re-identify any individuals
- You will not contact patients directly except through our approved channels
5.2 Research Use Only
The data provided is intended solely for research purposes including:
- Health economics and outcomes research (HEOR)
- Clinical trial feasibility and recruitment
- Real-world evidence generation
- Medical affairs and publication support
- Patient services improvement
5.3 Publication and Disclosure
If you publish research using PathwayBio data, you agree to:
- Acknowledge PathwayBio as a data source
- Not disclose any information that could identify individual patients
- Comply with all applicable publication guidelines
6. HIPAA Compliance
PathwayBio maintains HIPAA compliance and offers Business Associate Agreements (BAA) to covered entities and their business associates. By using the Service, you agree to:
- Maintain appropriate safeguards for any data you access
- Report any suspected security incidents promptly
- Cooperate with any compliance audits or investigations
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including its original content, features, and functionality, is owned by PathwayBio and protected by copyright, trademark, and other intellectual property laws.
7.2 License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal research purposes.
7.3 Your Content
You retain ownership of any content you submit through the Service. By submitting content, you grant us a license to use, store, and process that content as necessary to provide the Service.
8. Fees and Payment
Access to the Service may require payment of fees as described in your subscription agreement. You agree to:
- Pay all applicable fees according to the agreed pricing
- Provide accurate billing information
- Notify us of any billing disputes within 30 days
We reserve the right to change our pricing with 30 days' notice.
9. Confidentiality
You agree to maintain the confidentiality of:
- All data accessed through the Service
- Your account credentials
- Any proprietary information about our platform or methods
- Terms of any specific agreements between us
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that:
- The Service will be uninterrupted or error-free
- The data will be complete, accurate, or current
- The Service will meet your specific requirements
- Any errors will be corrected
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATHWAYBIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless PathwayBio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any research or publications based on data from the Service
13. Termination
We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:
- Your right to use the Service will immediately cease
- You must destroy any data obtained through the Service
- Provisions that by their nature should survive termination shall survive
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Pennsylvania.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any subscription agreement, constitute the entire agreement between you and PathwayBio regarding the Service.
